公司要關了,資遣員工卻要簽協議書? - 年終

各位大大好,我在鼓山區工作七年,最近公司打算關閉,
雖在規定關閉前30天內通告各員工關閉公司的消息,但同時也拿一份協議書要我們簽.
我想請問各位大大的是,
1.公司協議書上註明12月30日關閉,卻不是寫12月31日,這是否有其他意義在?
有可能是為了不想發放年終才這樣寫的嗎?還是有其他意思?
2.公司今年是有盈餘的,但前兩年有虧損;
那依照勞基法29條,有強制規定公司應該發放年終或紅利嗎?
若老闆有習慣向公司借貸卻很少還錢,能將借貸部份算在盈餘上頭嗎?
3.員工有權拒絕簽署公司開立的任何協議書嗎?
4.若不幸因雙方各執一詞而導致老闆不高興不發放年終,走向勞資協調會甚至
法院了,勞工有勝算嗎?聽說即使告贏了,他不給你錢也無法可管?
